Terms of Service.

The legal terms governing your use of the Navis Arca platform, the Navis Arca website, and any related services we provide. Please read carefully before subscribing.

1. Interpretation & definitions

"Navis Arca", "we", "us" or "our" refers to Necurity Solutions Network Security Private Limited, the provider of the Navis Arca platform. "Customer", "you" or "your" refers to the person or organisation subscribing to the platform under an Order Form or trial agreement. "Platform" or "Service" means the Navis Arca cloud console, endpoint agent, APIs, documentation and any related deliverables. "Customer Data" means data submitted to the Service by or on behalf of the Customer.

2. Acceptance of terms

By subscribing to, accessing, or using the Navis Arca platform you agree to be bound by these Terms of Service together with any Order Form, Service Level Agreement, Data Processing Addendum or other written agreement signed between you and Necurity Solutions. If you are accepting on behalf of an organisation you represent and warrant that you have authority to bind that organisation.

3. The Navis Arca service

Navis Arca is a cloud-native maritime cybersecurity platform. We provide:

  • An endpoint agent installable on Customer's vessel and shore-side endpoints (Windows, macOS, Linux);
  • A cloud-hosted operator console for fleet-wide visibility, configuration and reporting;
  • Compliance reporting capabilities mapped to recognised maritime cyber frameworks;
  • Documentation, onboarding assistance and platform support consistent with the subscription tier purchased.

The Service may be enhanced, modified, or have features added or removed from time to time. We will not materially degrade core advertised functionality during a paid term without consultation with the Customer.

4. Accounts & access

4.1 Account creation

You are responsible for the accuracy and completeness of information provided when creating accounts. Each operator account must be associated with a single, identifiable individual. Shared, generic or service accounts must be explicitly authorised in writing.

4.2 Authentication

Multi-factor authentication is mandatory for all operator accounts. You are responsible for safeguarding credentials and for all activity occurring under your accounts. Notify us immediately of any suspected compromise.

4.3 Authorised users

The Service is licensed for use by your employees, vessel crew, and contractors acting on your behalf, subject to the per-vessel subscription scope.

5. Fees, subscription & renewals

Subscription fees, payment terms, billing cycle and applicable taxes are set out in the relevant Order Form. Unless otherwise agreed in writing, subscriptions auto-renew at the end of each term at the then-current list price. Customer may elect not to renew by providing written notice no less than thirty (30) days prior to the renewal date.

Late payment may attract interest at the rate permitted by applicable law. We reserve the right to suspend access to the Service for non-payment after reasonable notice.

6. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or to facilitate the same;
  • Reverse engineer, decompile or attempt to derive the source code of the agent or platform, except to the extent expressly permitted by applicable law;
  • Resell, sublicense, or make the Service available to any third party except as permitted under your subscription;
  • Interfere with the integrity or performance of the Service;
  • Use the Service to scan, attack, or probe systems you do not own or have explicit authority to test.

7. Customer data & ownership

Customer Data remains the property of the Customer. We process Customer Data only as necessary to provide the Service, to fulfil our contractual obligations, and as further described in our Privacy Policy and any executed Data Processing Addendum.

Customer grants Necurity Solutions a non-exclusive, worldwide, royalty-free licence to use Customer Data solely for the purpose of operating, maintaining, supporting and improving the Service.

On termination, Customer may export their data within thirty (30) days of the effective termination date, after which we may permanently delete Customer Data in accordance with our retention schedule.

8. Intellectual property

The Navis Arca platform, including all software, documentation, branding, designs, and underlying technology, is and remains the exclusive property of Necurity Solutions and its licensors. Nothing in these Terms transfers any intellectual property rights to the Customer except the limited right to use the Service during the subscription term.

Customer feedback or suggestions provided to us may be used by Necurity Solutions without obligation or compensation.

9. Warranties & disclaimers

We warrant that the Service will perform materially in accordance with its documentation under normal use during the subscription term. EXCEPT FOR THE FOREGOING, THE SERVICE IS PROVIDED "AS IS" AND, TO THE MAXIMUM EXTENT PERMITTED BY LAW, NECURITY SOLUTIONS DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Cybersecurity is a continuously evolving discipline. We do not warrant that the Service will detect or prevent every possible threat, vulnerability, or incident. The Service is one of multiple controls Customer should maintain.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

EACH PARTY'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY THE CUSTOMER FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms limits liability that cannot be limited under applicable law (including liability for fraud, gross negligence, or wilful misconduct).

11. Term, suspension & termination

The subscription term is set out in the Order Form. Either party may terminate for material breach by the other party that remains uncured thirty (30) days after written notice. We may suspend access to the Service if reasonably necessary to prevent material harm to the Service, to other customers, or to third parties.

Termination does not relieve Customer of the obligation to pay fees due for the remainder of the then-current term unless termination is by Customer for our uncured material breach.

12. Confidentiality

Each party will protect the other's Confidential Information using the same care it uses for its own (and no less than reasonable care). Confidential Information will be used only as necessary to perform under these Terms and disclosed only to employees and contractors with a need to know who are bound by similar confidentiality obligations.

13. Governing law & jurisdiction

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Each party agrees to the exclusive jurisdiction of the competent courts at Chennai, Tamil Nadu, India, except that either party may seek interim injunctive relief in any court of competent jurisdiction. Where required by applicable law, mandatory consumer protections of the Customer's home jurisdiction will apply.

14. Changes to these terms

We may update these Terms from time to time to reflect product, legal or operational changes. Material changes will be notified to active customers at least thirty (30) days in advance through the operator console or via the email address on file. Continued use of the Service after the effective date of a change constitutes acceptance.
